{"id":9772,"date":"2019-04-09T00:00:00","date_gmt":"2019-04-09T00:00:00","guid":{"rendered":"https:\/\/abeille-preprod.eliott-markus.cloud\/nu-proprietaire-bail-commercial\/"},"modified":"2019-04-09T00:00:00","modified_gmt":"2019-04-09T00:00:00","slug":"nu-proprietaire-bail-commercial","status":"publish","type":"post","link":"https:\/\/abeille.law\/en\/nu-proprietaire-bail-commercial\/","title":{"rendered":"Conclusion d\u2019un bail commercial : pas sans l\u2019accord du nu-propri\u00e9taire !"},"content":{"rendered":"<p>Lorsque la propri\u00e9t\u00e9 d\u2019un local est d\u00e9membr\u00e9e, l\u2019usufruitier ne peut pas, sans l\u2019accord du <strong>nu-propri\u00e9taire<\/strong>, conclure ou renouveler un <strong>bail commercial<\/strong> portant sur ce local, ni m\u00eame signer un avenant au contrat de bail.<\/p>\n<p>Il arrive souvent, notamment apr\u00e8s une succession, que la propri\u00e9t\u00e9 d\u2019un bien soit \u00ab\u00a0<em>d\u00e9membr\u00e9e<\/em>\u00a0\u00bb. Le droit de propri\u00e9t\u00e9 du bien est alors r\u00e9parti entre un nu-propri\u00e9taire, qui a le droit d\u2019en disposer, et un <strong>usufruitier<\/strong>, qui a le droit de l\u2019utiliser et de percevoir les revenus qu\u2019il d\u00e9gage.<\/p>\n<p>\u00c0 ce titre, la loi pr\u00e9voit que lorsque la propri\u00e9t\u00e9 d\u2019un local \u00e0 usage commercial, artisanal ou industriel est d\u00e9membr\u00e9e, l\u2019usufruitier ne peut pas le donner en location sans l\u2019accord du nu-propri\u00e9taire. \u00c0 d\u00e9faut, ce dernier serait en droit de demander en justice l\u2019annulation du bail.<\/p>\n<section>\n<blockquote><p>Pr\u00e9cision :\u00a0lorsque le nu-propri\u00e9taire ne donne pas son accord, l\u2019usufruitier peut toutefois \u00eatre autoris\u00e9 par le juge \u00e0 conclure seul le bail.<\/p><\/blockquote>\n<\/section>\n<p>Cette r\u00e8gle s\u2019applique \u00e9galement pour le <strong>renouvellement d\u2019un bail commercial<\/strong> ainsi que pour la conclusion d\u2019un avenant. C\u2019est ce que les <a title=\"Legifrance | Arr\u00eat de la cour de cassation civile\" href=\"https:\/\/www.legifrance.gouv.fr\/affichJuriJudi.do?oldAction=rechJuriJudi&#038;idTexte=JURITEXT000038264938&#038;fastReqId=674184535&#038;fastPos=1\" target=\"_blank\" rel=\"noopener\">juges ont affirm\u00e9<\/a> dans une affaire r\u00e9cente. L\u2019usufruiti\u00e8re d\u2019un local commercial donn\u00e9 \u00e0 bail \u00e0 une soci\u00e9t\u00e9 avait consenti \u00e0 cette derni\u00e8re, en contrepartie de travaux qu\u2019elle avait r\u00e9alis\u00e9s \u00e0 ses frais, une dispense de paiement des loyers pendant quelques ann\u00e9es, ainsi qu\u2019une r\u00e9duction de moiti\u00e9 du montant du loyer pendant les ann\u00e9es suivantes. Cette dispense et cette r\u00e9duction avaient \u00e9t\u00e9 formalis\u00e9es par un avenant au contrat de bail. Or, les filles de l\u2019usufruiti\u00e8re, qui \u00e9taient nues-propri\u00e9taires du local, avaient contest\u00e9 la validit\u00e9 de cet avenant car il avait \u00e9t\u00e9 sign\u00e9 sans leur accord. Les juges leur ont donn\u00e9 raison et ont donc d\u00e9clar\u00e9 nul l\u2019avenant.
